The agreement
These terms are an agreement between Appsotech Limited (“Appsotech”, “we”) and the organisation that subscribes to APPSOCOM (the “Customer”), and they also apply to each person the Customer invites (“Users”). By setting up a workspace or using APPSOCOM, you agree to them. If you accept on behalf of an organisation, you confirm that you can bind it.
An order form, quote or invoice we agree with the Customer forms part of these terms. If it conflicts with these terms, the order form wins for that order.
The service
APPSOCOM provides email (hosted on the Customer’s domain or linked from other providers), chat, voice and video calls, calendar, tasks, customer support tools including a website chat widget, and AI features such as briefings, reply drafts, reminder calls and voice mode. Features vary by plan, as described on our website or order form. We may improve and change APPSOCOM over time; we will not materially reduce the core features of a paid plan during a paid term.
APPSOCOM is invitation-only. Workspaces are created by Appsotech, and Customers invite their Users.
Accounts and workspaces
- The Customer is responsible for who it invites, the roles it gives them, and what they do in its workspace.
- Users must keep their sign-in details safe and tell the Customer or us promptly about any unauthorised use.
- Users must be at least 18 years old.
AI features
AI features generate summaries, drafts, answers and speech automatically and can be wrong. Users should review what the assistant drafts before approving it. The assistant will not send email, accept invitations or contact other people without a User’s confirmation, such as a tap or, in voice mode, a spoken instruction that is read back first. Spoken sends can be undone for a short time after they are confirmed. The Customer is responsible for messages its Users approve.
When the support assistant answers the Customer’s own customers, it answers from the knowledge base the Customer provides. The Customer is responsible for that content and for telling its customers that they may be talking to an AI assistant.
Acceptable use
You must not use APPSOCOM to:
- send spam or unsolicited bulk messages, or harvest email addresses;
- break the law, infringe others’ rights, or send harassing, fraudulent or harmful content;
- record calls without the notice or consent the law requires;
- try to break, overload, probe or get around the security of APPSOCOM, or access other workspaces;
- resell APPSOCOM without our written agreement.
We may suspend a workspace or User that puts APPSOCOM, other customers or the public at risk. Where we can, we will tell the Customer first and give it a chance to fix the problem.
Customer data
The Customer owns the content it and its Users put into APPSOCOM (“Customer Data”). The Customer gives us permission to host, process and transmit Customer Data only to provide and support APPSOCOM, keep it secure, and comply with the law. Our Data Processing Agreement applies to personal data in Customer Data, and our Privacy Policy explains how we handle personal information. We do not use Customer Data to train AI models.
Mail in accounts linked from Google, Microsoft or other providers stays subject to those providers’ terms.
Plans, fees and payment
- Fees are charged per User per month for the plan chosen, with any add-ons (for example extra support sites or voice minutes), as set out on our website or order form. Prices exclude VAT and other taxes, which the Customer pays.
- Plans include a minimum number of Users. AI voice minutes and AI support conversations are pooled across the workspace and reset each month; unused allowances do not roll over.
- Invoices are due within 14 days unless the order form says otherwise. We may suspend paid features if an invoice is more than 30 days overdue, after giving notice.
- We may change prices for a new term by giving at least 30 days’ notice.
Term and ending
Subscriptions run month to month unless the order form sets a longer term, and renew automatically. Either party may end a monthly subscription with 30 days’ notice. Either party may end the agreement straight away if the other seriously breaches it and does not fix the breach within 30 days of notice.
After the agreement ends, the Customer can export its data for 30 days. After that we delete Customer Data, except where the law requires us to keep it.
Our property
APPSOCOM, including its software, design and brand, belongs to Appsotech and our licensors. These terms give the Customer and its Users the right to use APPSOCOM during the subscription; they do not transfer ownership. If you send us feedback, we may use it freely.
Warranties and disclaimers
We will provide APPSOCOM with reasonable skill and care. Apart from that, APPSOCOM is provided “as is”, and to the extent the law allows we disclaim other warranties, including that APPSOCOM will be uninterrupted or error-free, or that AI output will be accurate.
Limits of liability
To the extent the law allows, neither party is liable for indirect or consequential loss, or for lost profits, revenue or data, and each party’s total liability under these terms is limited to the fees the Customer paid in the 12 months before the claim. These limits do not apply to a Customer’s payment obligations, a party’s breach of confidentiality, or liability that cannot be limited by law.
General
- These terms are governed by the laws of the Federal Republic of Nigeria, and the courts of Nigeria have jurisdiction, unless an order form says otherwise.
- We may update these terms. For material changes we will give Customers at least 30 days’ notice; continuing to use APPSOCOM after that means accepting them.
- Neither party may transfer the agreement without the other’s consent, except as part of a merger or sale of its business.
- If any part of these terms is unenforceable, the rest still applies.
